The charges include accusations that Binance and CZ did not clearly separate its U.S. and international businesses as required by current regulations, and allowed illicit activities such as money laundering to take place at the crypto exchange.

Garland says the Justice Department has prosecuted the CEOs of two of the world’s largest coin exchanges in just the past month. The message is clear, using new technology to break the law doesn’t make you a disrupter, it makes you a criminal.

In a statement, Binance said it was “not perfect” and admitted that it did not have proper compliance controls, but said it always sought to “protect users since its early days.”

“These resolutions acknowledge our company’s responsibility for historical, criminal compliance violations, and allow our company to turn the page on a challenging yet fantastic chapter of learning and growth,” he said.

The location has no official headquarters and the man who has become a well known player in crypt is moving around a lot.

At the height of its popularity in February 2023, shortly after the failure of rival firm FTX, Binance was responsible for as much as 66 percent of crypto trading activity taking place over centralized exchanges (as opposed to peer-to-peer platforms) worldwide. Its market share had fallen below 40 percent but it remained the largest exchange in the world by transaction volume.

The announcement from the Department of Justice, Treasury Department and Commodity Futures Trading Commission comes less than a month after federal prosecutors convinced a jury to find CZ’s one-time rival, FTX founder Sam Bankman-Fried, guilty of seven criminal charges, including fraud and money laundering.

“The result of these agreements will be an end to company behavior that has posed risks to the U.S. financial system, U.S. citizens, and our country’s national security for too long,” said Treasury Secretary Janet Yellen, in a statement.

“If virtual currency exchanges want to realize the benefits of being part of the U.S. financial system and serving customers in the U.S. they need to play by the rules,” she said. “And if they do not, the U.S. government will take action.”

A deferred prosecution agreement, says Paul Tuchmann, a former US prosecutor and partner at law firm Wiggin and Dana, is typically deployed in cases where the DOJ determines “the collateral consequences of a criminal prosecution of a corporation are not worth it.” Potential damage to innocent parties will be taken into consideration, says Tuchmann, which could include shareholders, employees, or consumers of company services. It was found that Binance had become too big to fail.

The company faces civil lawsuits in the US from the Commodities and Futures Trading Commission and Securities and Exchange Commission that claim that it commingled customer assets, anti-money-leasing violations and artificially inflating trading volumes.

In the last year, an account called “4”–a symbol he used to dismiss allegations against the company as baseless FUD–was posted on the social networking site X. There has been a general sense of doom surrounding the DOJ investigation into Binance, and staff at the company have been anxious for charges to be dropped.

More than 1.10 million transactions between US persons and Iranians were allowed by Binance, amounting to a value of over $900 million, according to the indictment. It also alleges $106 million in direct flows of money from the Russian dark web market Hydra, which offered narcotics, stolen data, and money laundering services, to Binance accounts.

Garland announced Tuesday that Zhao had pleaded guilty to a felony money laundering violations charge and that the company had agreed to pay a $4.3 billion fine as part of a settlement with the DOJ. The company’s head of sales and operations has also stepped down.

The charging documents show that the company allegedly turned a blind eye to the trading of funds from countries like Iran and Cuba, as well as the area of Ukraine which was captured by the Russians.
